Position

About the Role
As a corporate specialist in our team, you will be responsible for maintaining and updating information for all the Legal Entities assigned in accordance with internal requirements in our corporate digital tool and physical archives when required by law. You will coordinate and oversee corporate filings with government authorities as required by local law, ensuring that business licenses are up to date and compliant with the services provided and local law. You will liaise with shareholders, board members, corporate officers, lawyers, and third-party providers on governance matters, manage the entity compliance calendar, and provide specific support to business and internal stakeholders, as well as finance colleagues related to Powers of Attorney and director signatories. Additionally, you'll coordinate multi-country governance projects, provide liquidation implementation support, and implement legal entity clean-up programs.

You will also coordinate corporate actions to ensure necessary actions are taken, which include:

  • Board meetings and general meetings, including both annual general meetings (AGM) and extraordinary general meetings when required to formalize certain decisions.
  • Facilitating the preparation of corporate documentation including:
    • Resolutions and notices that need to be passed
    • Minutes from general meetings and board meetings
    • Articles of association
    • Powers of Attorney
  • Facilitating and attending board meetings and general meetings as required.

Qualifications

  • Bachelor’s degree with Paralegal Certification and/or bachelor's degree in legal studies with a Paralegal Concentration.
  • 5 to 10 years in corporate governance, preferably with experience in Middle East and African subsidiaries of multinational organizations.
  • International experience.
  • Ability to proactively conduct documentation processes.
  • Excellent communication skills – both oral and written.
  • Strong organizational and time management skills.
  • Ability to juggle multiple matters and prioritize them accordingly.
