Responsibilities
- Serve as the key point of contact within Legal for key product lines, including equities and tokenized securities, addressing the company's legal needs and obligations for tokenized securities and stock trading products and services.
- Coordinate with other Legal teams (Commercial, Corporate, Regulatory, Data Privacy, Litigation) and cross-functional teams (Compliance, Risk, Marketing, Business Development, Customer Support, Tax).
- Advise on ad hoc regulatory issues and facilitate product development through the full product life-cycle (design, launch, ongoing advisory), while identifying and mitigating legal risks specific to tokenized securities and traditional financial instruments.
- Advise on regulatory compliance and implementation, focusing on securities and financial instruments regulation as well as digital assets regulation.
- Draft, amend, and negotiate product-centric terms and commercial contracts, including brokerage agreements, tokenization agreements, trading terms, and partner contracts, while preparing templates to mitigate risk.
- Ensure compliance with financial promotion and advertising rules applicable to tokenized securities by advising on product-related marketing, announcements, and social media campaigns.
- Collaborate with litigation colleagues to address client complaints and disputes related to tokenized securities and equities trading.
- Manage relationships with internal and external stakeholders and coordinate across jurisdictions and time zones.
- Work with cross-functional teams (Marketing, Business Development, Customer Support) to drive user acquisition and retention for equities products.
- Stay updated with industry/market trends and conduct research on product-centric regulatory issues, particularly involving tokenized securities, traditional equities, and digital assets.
- Anticipate new ideas and identify legal issues in the end-to-end planning and execution process for equities and tokenized securities products.
- Support licensing initiatives and internal projects related to tokenized securities and stock trading.
- Develop creative solutions to meet evolving business needs and share knowledge by delivering training and creating internal guidance for colleagues.
- Manage engagement of external counsel in line with internal policies and procedures.
Preferred Qualifications
- Qualified lawyer with 4–10 years of experience in a law firm, financial services firm, or fast-paced technology company.
- Deep understanding of securities and financial instruments regulation, with experience in brokerage licensing, securities trading rules, and financial market infrastructure.
- Confidence in engaging with senior stakeholders and providing commercially minded legal advice.
- Ability to effectively multi-task and prioritize across stakeholders/business units.
- Experience in product counseling on privacy, data protection, intellectual property, or technology transactions/litigation is advantageous.
- Proactive and hands-on attitude with the capacity to manage complex projects independently.
- Collaborative team player with strong business acumen and communication skills.
- Keen interest in the crypto world and digital assets markets; experience bridging traditional finance with tokenized securities or crypto/Web3 is a plus.
