This includes assisting in the creation and regular review of an authority matrix, as well as developing governance practices that align with organizational requirements. The position will also involve managing a variety of governance requirements, coordinating with assurance and business functions, and providing high-level secretariat support to key management committees to ensure comprehensive governance measures are in place and effectively managed.

Job Responsibilities
- Manage the implementation of an organization-wide governance framework by developing the governance strategy, policies, procedures, framework, and operational plan in line with strategic direction.
- Support the development of Key Performance Indicators (KPIs) for the governance function.
- Oversee the activities of the governance function in accordance with the broader business and operational tolerances.
- Manage the development of the annual governance report in collaboration with other functions.
- Stay informed about sector-wide developments and governance-related topics.
Operational Responsibilities
- Provide advice and assistance on governance issues within the organization.
- Assist and advise on appropriate governance structures, promoting a culture of good governance.
- Support the establishment and management of a relevant governance framework across the organization.
- Ensure compliance with applicable legislation and regulations, and challenge non-adherence.
- Assist in the development of management committees’ terms of reference and governance structures to support objectives.
- Ensure management committees operate in accordance with their Terms of Reference and provide secretariat support to key committees.
- Maintain and manage the delegations’ frameworks for all authorities, ensuring clarity and adherence to levels of delegation.
- Support the Head of Governance to ensure organizational policies remain up to date and compliant with legislative requirements.
- Oversee the follow-up of actions agreed upon during meetings of the Board, Board committees, and management committees, as well as the Boards of subsidiaries.
- Maintain a Register of Interest for all Board and Committee members.
- Provide guidance to the risk, compliance, and internal audit functions to foster a sound governance culture.
- Assist in the development, maintenance, and review of the Delegation of Authority Matrix.
- Support the creation of the functional charter for the governance function.
- Conduct periodic reviews of the governance framework and recommend improvements based on best practices.
- Support special projects and assignments as needed as part of the oversight function.
Information Security Related
- Adhere to responsibilities per the Information Security policy and best practices shared during induction and awareness sessions.
- Ensure confidentiality, integrity, and availability of the organization’s information at all times, both internally and externally.
Job Qualifications
- A minimum of a bachelor’s degree in Law, Finance, Business Administration, or a related field.
- Knowledge of federal and local regulations, as well as internationally accepted standards and leading industry practices.
Work Experience
- A minimum of 8+ years in a governance function or a relevant area.
- Experience in the financial services industry is preferred.
- Experience dealing with federal, local, and regional regulators is a plus.
