About the Role
This role serves as the primary legal advisor supporting the company's (re)insurance operations in Bermuda. The Vice President, Associate General Counsel provides strategic legal counsel on corporate, regulatory, governance, underwriting, transactional, and operational matters while ensuring compliance with applicable laws, regulations, and internal policies. Additionally, the position supports board and committee governance activities for Bermuda legal entities and collaborates closely with legal & compliance colleagues, business, risk, finance, and executive stakeholders throughout the organization.

What You’ll Be Doing

Legal Advisory

  • Provide practical, risk-based legal advice to business and functional leaders on insurance, reinsurance, corporate, commercial, and operational matters.
  • Support strategic initiatives, transactions, reorganizations, integrations, and business transformation projects.
  • Review, draft, negotiate, and advise on a wide range of contracts and legal documentation.
  • Identify legal risks and develop appropriate mitigation strategies.
  • ILS or Alternative Capital Management legal experience a plus.

Regulatory & Compliance Support

  • Advise on Bermuda regulatory requirements applicable to Bermuda P&C insurers and coordinate with legal, compliance, risk, and business stakeholders.
  • Support regulatory examinations, inquiries, filings, and interactions with Bermuda regulatory authorities.
  • Monitor Bermuda legal and regulatory developments that may impact the business and recommend appropriate actions.

Corporate Governance

  • Serve as legal advisor and corporate secretary support for Bermuda entities as required.
  • Prepare board and committee minutes, resolutions, governance documentation, and corporate records.
  • Assist in the coordination of Bermuda board and committee meetings and advise directors and senior management on governance matters.
  • Support compliance with applicable corporate governance requirements and internal governance frameworks.

Enterprise & Business Partnering

  • Collaborate with legal, compliance, risk, finance, HR, underwriting, claims, and operations teams globally.
  • Provide solutions-oriented legal support to facilitate business objectives while maintaining appropriate controls.
  • Contribute to department initiatives and continuous improvement efforts.

External Counsel Management

  • Manage external law firms and legal service providers.
  • Oversee legal spend and outside counsel performance where appropriate.

Policy & Training

  • Assist in developing, maintaining, and implementing legal and compliance policies and procedures.
  • Deliver legal and compliance training to business stakeholders.
  • Promote a strong culture of ethics, compliance, and good governance.

What You’ll Bring

  • Juris Doctor (JD), LLB, or equivalent law degree.
  • Qualified lawyer admitted in a recognized jurisdiction.
  • Significant post-qualification legal experience, preferably within the insurance, reinsurance, financial services, or corporate sectors.
  • Experience advising senior executives and boards of directors.
  • Experience supporting regulated entities and complex international organizations.
  • Strong knowledge of P&C (re)insurance, corporate governance, and regulatory matters. Experience with life reinsurance is a plus.
  • Excellent drafting, negotiation, and analytical skills.
  • Ability to provide clear, commercially focused legal advice.
  • Strong stakeholder-management and communication skills.
  • Ability to manage competing priorities in a fast-paced global environment.
